NQA Audit Timing Risk¶
The April 2026 NQA audit is the most time-sensitive element. Three scenarios:
- Close before audit: Buyer inherits the audit. Risk: new owner navigating audit with limited history.
- Close after audit: Seller handles the audit. Best outcome if audit passes cleanly.
- Close during audit: Worst case. Ownership change during active audit could trigger expanded scope.
Recommendation: Structure deal timing to close after the NQA audit is complete and findings (if any) are understood.
